Welcome to Clinetix Technologies (OPC) Pvt Ltd ("ClinetiX," "Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website www.clinetix.in, as well as all software development services, digital products, and related offerings provided by ClinetiX. By accessing our website or engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms.

Please read these Terms carefully before using our website or services. If you do not agree with any part of these Terms, you should not use our website or engage our services.

1. Definitions

  • "Agreement" refers to these Terms of Service together with any Statement of Work (SOW), proposal, or contract executed between ClinetiX and the Client.
  • "Services" means software development, web development, mobile application development, UI/UX design, digital marketing, graphic design, e-commerce solutions, maintenance, support, and any other services offered by ClinetiX.
  • "Deliverables" means all work products, code, designs, documentation, and other materials created by ClinetiX in the course of providing the Services.
  • "Confidential Information" means any non-public information disclosed by either party, including business plans, technical data, trade secrets, and proprietary information.
  • "Website" refers to www.clinetix.in and all subdomains.

2. Acceptance of Terms

By accessing, browsing, or using the Website or by engaging ClinetiX for any Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

We reserve the right to modify these Terms at any time. Continued use of the Website or Services after any such changes constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

3. Services Offered

ClinetiX provides a comprehensive range of IT and software development services, including but not limited to:

  • Custom website design and development
  • Mobile application development (Android & iOS)
  • UI/UX design and prototyping
  • Full-stack web application development
  • E-commerce platform development
  • Digital marketing and SEO services
  • Graphic design and branding
  • Software maintenance and support
  • API development and integration
  • Cloud deployment and DevOps consulting

The specific scope, deliverables, and timelines for any engagement shall be defined in a mutually agreed-upon Statement of Work (SOW) or project proposal.

4. Engagement & Project Scope

4.1 Project Proposals

All projects commence upon the Client's written acceptance (including email) of a project proposal or SOW provided by ClinetiX. The SOW shall detail the scope of work, deliverables, timelines, milestones, and associated costs.

4.2 Change Requests

Any changes to the agreed scope of work must be documented through a formal change request. ClinetiX reserves the right to adjust timelines and costs to accommodate such changes. No verbal change requests shall be binding.

4.3 Client Responsibilities

The Client agrees to:

  • Provide timely and accurate information, content, and feedback required for the project
  • Designate a single point of contact for project communication
  • Review and approve deliverables within the agreed-upon timeframes
  • Ensure availability of necessary access, credentials, and resources

4.4 Delays

Delays caused by the Client's failure to provide required inputs, feedback, or approvals may result in revised timelines and additional costs. ClinetiX shall not be liable for project delays arising from the Client's non-cooperation.

5. Payment Terms

5.1 Pricing

All prices and fees shall be as specified in the agreed-upon SOW or project proposal. Unless otherwise stated, all amounts are in Indian Rupees (INR) and exclusive of applicable taxes, including Goods and Services Tax (GST) as per prevailing Indian tax laws.

5.2 Payment Schedule

Payment shall be made as per the milestones defined in the SOW. A typical payment structure is:

  • Advance Payment: 30–50% of the total project cost upon project commencement
  • Milestone Payments: As defined in the SOW upon completion of agreed milestones
  • Final Payment: Remaining balance upon project completion and final delivery

5.3 Late Payments

Payments not received within 15 days of the invoice date shall attract an interest of 1.5% per month on the outstanding amount. ClinetiX reserves the right to suspend work on any project where payments are overdue by more than 30 days.

5.4 Refund Policy

Advance payments are non-refundable once work has commenced. In the event of project cancellation by the Client, ClinetiX shall invoice for all work completed up to the date of cancellation, and any remaining advance shall be adjusted against the work done.

6. Intellectual Property Rights

6.1 Ownership of Deliverables

Upon receipt of full and final payment, all intellectual property rights in the custom Deliverables created specifically for the Client shall be transferred to the Client, unless otherwise stated in the SOW.

6.2 Pre-Existing IP

ClinetiX retains all rights in any pre-existing intellectual property, tools, frameworks, libraries, and methodologies used in the development of Deliverables. The Client is granted a non-exclusive, perpetual, royalty-free license to use such pre-existing IP solely as part of the Deliverables.

6.3 Open-Source Components

Where open-source software components are used, the Client acknowledges that such components are subject to their respective open-source licenses, and ClinetiX does not claim ownership over them.

6.4 Portfolio Rights

ClinetiX reserves the right to showcase the completed project (without disclosing confidential information) in its portfolio, website, case studies, and marketing materials, unless the Client provides a written request to the contrary.

7. Confidentiality

Both parties agree to maintain the confidentiality of all Confidential Information received from the other party. Neither party shall disclose Confidential Information to any third party without prior written consent, except as required by law or to professional advisors bound by confidentiality obligations.

This obligation of confidentiality shall survive the termination of the Agreement for a period of three (3) years.

8. Warranties & Disclaimers

8.1 Service Warranty

ClinetiX warrants that all Services shall be performed in a professional and workmanlike manner consistent with industry standards. We provide a warranty period of 30 days from the date of final delivery for bug fixes related to the agreed specifications.

8.2 Disclaimer

Except as expressly stated herein, the Services and Deliverables are provided "AS IS" without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. ClinetiX does not guarantee uninterrupted, error-free, or secure operation of any software delivered.

8.3 Website Disclaimer

The content on our Website is provided for general informational purposes only. While we strive to keep the information up to date and accurate, we make no representations or warranties of any kind about the completeness, accuracy, reliability, or suitability of the information.

9. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

  • ClinetiX's total aggregate liability under these Terms shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
  • In no event shall ClinetiX be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill.
  • ClinetiX shall not be liable for any damages arising from the Client's misuse of the Deliverables, unauthorized modifications, or failure to maintain proper backups.

10. Indemnification

The Client agrees to indemnify, defend, and hold harmless ClinetiX, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from:

  • The Client's breach of these Terms
  • The Client's use or misuse of the Deliverables
  • Any content, data, or materials provided by the Client that infringe upon the rights of a third party
  • Any violation of applicable laws or regulations by the Client

11. Termination

11.1 Termination by Client

The Client may terminate the Agreement at any time by providing 15 days' written notice. The Client shall be liable to pay for all work completed up to the date of termination.

11.2 Termination by ClinetiX

ClinetiX may terminate the Agreement if:

  • The Client fails to make payments within the stipulated timeline
  • The Client materially breaches any term of this Agreement and fails to cure within 15 days of written notice
  • The Client becomes insolvent or subject to insolvency proceedings

11.3 Effect of Termination

Upon termination, ClinetiX shall deliver all completed Deliverables for which payment has been received. Sections relating to Intellectual Property, Confidentiality, Limitation of Liability, and Indemnification shall survive termination.

12. Data Protection & Privacy

ClinetiX is committed to protecting your personal data in accordance with the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection Act, 2023 (DPDPA) as applicable.

13. Third-Party Services

Our Services may involve the use of third-party tools, APIs, hosting platforms, or software. ClinetiX is not responsible for the terms, privacy practices, or performance of such third-party services. The Client acknowledges that the use of third-party services may be subject to separate terms and conditions.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond the reasonable control of that party, including but not limited to natural disasters, epidemics, pandemics, war, terrorism, government actions, power failures, internet or telecommunications outages, or any other force majeure event.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana, India.

16. Dispute Resolution

In the event of any dispute arising out of these Terms, the parties shall first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved within 30 days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted in English and the seat of arbitration shall be Hyderabad, India.

17. Amendments to Terms

ClinetiX reserves the right to update or modify these Terms at any time without prior notice. The updated Terms shall be effective upon posting on this Website. The "Last Updated" date at the top of this page indicates when these Terms were most recently revised. Your continued use of the Website or Services following any changes constitutes acceptance of those changes.
